Avatar Consent & License Agreement

1. Introduction and Definitions

This Avatar Consent and License Agreement ("Agreement") is entered into between Barro Services LLC, operating as GetLiveSell AI ("Company," "we," "us," or "our"), and you, the individual whose likeness will be used to create an AI-generated avatar ("Subject," "you," or "your").

Definitions:

• "Avatar" means an AI-generated digital representation created using your likeness, voice, or other biometric data.
• "Custom Avatar" means an Avatar created specifically from your likeness (CUSTOM_2D or CUSTOM_3D), as opposed to generic stock avatars.
• "Likeness" includes your face, body, voice, mannerisms, and other identifying characteristics.
• "Content" means any video, audio, image, or other media generated using your Avatar.
• "Workspace" means the business entity or brand that requested the creation of your Avatar.

2. Consent to Use Likeness

By signing this Agreement, you grant the Company and the designated Workspace express consent to:

• Capture, record, and digitize your likeness, including facial features, expressions, and voice patterns
• Create AI-generated Avatar representations based on your likeness
• Store and process biometric data necessary for Avatar creation and operation
• Use your Avatar to generate Content as described in Section 3

You represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into this Agreement
• The likeness you provide is your own and not that of another person
• You have not granted exclusive rights to your likeness to any third party that would prevent this consent

3. License Grant

Subject to the terms and conditions of this Agreement, you grant the Company and the designated Workspace a non-exclusive, royalty-free, worldwide license to:

• Create, reproduce, and store your Avatar
• Generate Content using your Avatar for the following purposes:
  • Product demonstrations and advertisements
  • Social media posts and organic content
  • Livestream commerce presentations (if scope permits)
  • Customer engagement and support communications
• Distribute, display, and publicly perform such Content on social media platforms, websites, and other digital channels
• Modify or edit Content for format, length, or platform requirements

Usage Scope: Your Avatar may be assigned a specific usage scope (ADS_ONLY, POSTS, or LIVE_ALLOWED) which limits the contexts in which it may be used. This scope will be specified during the consent signing process.

4. Prohibited Uses

The following uses of your Avatar are expressly prohibited:

• Deepfake Misuse: Creating Content that misrepresents your statements, opinions, or actions in a manner that could damage your reputation
• False Endorsement: Implying your personal endorsement of products or services without your explicit approval for the specific Content
• Impersonation: Using your Avatar to impersonate you in personal, professional, or official contexts outside the agreed scope
• Adult or Explicit Content: Any sexually explicit, pornographic, or adult-oriented material
• Illegal Activities: Any Content promoting illegal activities, violence, hate speech, or discrimination
• Medical/Health Claims: Making unsubstantiated medical claims or providing medical advice as if from a licensed professional
• Political Campaigns: Using your Avatar in political advertising without separate written consent
• Defamation: Any Content that defames, libels, or slanders any person or entity

Enforcement: Any violation of prohibited uses will result in immediate suspension of your Avatar and may result in termination of this Agreement. You may report suspected violations to legal@getlivesellai.com.

5. Disclosure Requirements

All Content generated using your Avatar will include clear disclosure that the content features AI-generated or synthetic media. This disclosure:

• Will be visible and legible to viewers
• Will use language such as "AI Avatar," "AI-Generated," or "Synthetic Media"
• Will comply with applicable platform policies (TikTok, Instagram, etc.)
• Will comply with applicable laws and regulations regarding synthetic media disclosure

The Company is committed to transparency and will not attempt to pass off AI-generated content as authentic human content.

6. Script and Content Approval

To protect your likeness and reputation:

• All scripts bound to your Avatar must pass our compliance engine before rendering
• The compliance engine checks for prohibited phrases, medical claims, impersonation patterns, and other violations
• Content that fails compliance review will not be rendered using your Avatar
• You may request periodic reviews of Content generated using your Avatar

While we implement robust compliance controls, you acknowledge that automated systems may not catch all potentially objectionable content. You may report concerns at any time.

7. Identity Verification

Custom Avatar creation requires identity verification to prevent unauthorized use of likenesses. By proceeding, you consent to:

• Providing a government-issued ID or equivalent documentation
• Completing a video selfie or live verification process
• Having our team or automated systems verify your identity matches the likeness submitted
• Periodic re-verification if required by policy updates

8. Revocation Policy

You may revoke this consent at any time subject to the following terms:

• Notice Period: You must provide written notice of revocation through the platform dashboard or by emailing legal@getlivesellai.com
• Admin Review: Revocation requests are reviewed by our platform administration team
• Effective Date: Revocation becomes effective on a date set by administration, typically 30 days from approval, to allow for wind-down of active uses
• Existing Content: Content already published prior to the effective date may remain published unless you specifically request removal
• Immediate Suspension: In cases of demonstrated misuse, you may request immediate suspension pending revocation review

Upon revocation:

• Your Avatar status will be changed to REVOKED
• No new Content may be generated using your Avatar
• Your likeness data will be handled according to Section 9 (Data Retention)

9. Data Retention

We retain data related to your Avatar as follows:

• During Active Consent: All likeness data, Avatar assets, and generated Content are retained for the purpose of providing services
• After Revocation:
  • Likeness source materials (photos, videos, voice samples) will be deleted within 90 days
  • Avatar model files will be deactivated and archived for 1 year (for audit purposes), then deleted
  • Generated Content may be retained by the Workspace subject to their own policies and platform requirements
  • Consent records and audit logs are retained for 7 years for legal compliance

10. Term and Termination

This Agreement is effective from the date you sign it and continues until:

• You revoke consent as described in Section 8
• The Workspace terminates its use of your Avatar
• The Company terminates the Agreement for cause
• One (1) year from signing, unless renewed (annual renewal required)

Automatic Renewal: This Agreement will automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least 30 days before the renewal date.

Termination for Cause: The Company may terminate this Agreement immediately if you breach any material term, provide false information during verification, or if continuing the Agreement would violate applicable law.

11. Compensation

Unless separately agreed in writing, this consent is granted without monetary compensation. If separate compensation arrangements exist, they will be documented in a supplementary agreement between you and the Workspace.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of your Avatar
• The Company's total liability shall not exceed the amount of compensation paid to you under this Agreement (if any), or $100 if no compensation was paid
• You agree to indemnify the Company against claims arising from your breach of this Agreement or false representations

13. Governing Law and Disputes

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration taking place in Delaware or remotely at the Company's discretion.

14. Amendments

The Company may update this Agreement from time to time. Material changes will require your renewed consent. Non-material changes (clarifications, formatting) may take effect upon notice. The current version of this Agreement is always available at this URL.
